user agreement

✦ By commissioning me, you acknowledge that you have read, understood, and accepted all the terms outlined in this document.
✦ I am not responsible if you choose to commission me without having read my Terms of Service in full.
✦ If you are not comfortable with these terms or do not agree with any condition, you may not request a commission.
✦ Please read these terms entirely. I will refuse any commission request if you do not agree to them.

general

✦ By commissioning me, you are purchasing my services as an Artist only.
✦ I reserve the right to decline any project or client for any reason.
✦ I retain full ownership of all original artwork I create and may use it for promotional display.
✦ Affiliating me or my art with AI or NFT-related material is prohibited.
✦ Making any profit from my original artwork without purchasing commercial rights is prohibited.
✦ Nothing is ever intended by either me or the Client to be physically shipped.
✦ All sales are for Digital Artwork only. By commissioning me, you are purchasing a license for personal use only, unless commercial rights are specifically purchased and agreed upon.
✦ Any disputes arising from this agreement will first be attempted to resolve through direct communication between the Artist and Client.

client

✦ Clients are expected to read the Terms of Service and understand general commission pricing before ordering.✦ Clients are not authorized to change, modify, edit the delivered artwork(s) without the artist’s explicit permission.
✦ Clients are not authorized to trace, copy, or use the delivered artwork(s) as a base in any way.
✦ Clients may not claim the delivered artwork(s) as their own.
✦ Clients must respect that the Artist's style cannot be altered.✦ Clients are permitted to include signatures and/or watermarks indicating that the delivered artwork(s) are the Artist's intellectual property.
✦ Clients may use the delivered artwork(s) for personal purposes, including (but not limited to) avatars, wallpapers, or personal website/profile displays.
✦ Clients may display the delivered artwork(s) on external sites as long as they are credited to the Artist.
✦ Clients may print physical reproductions of the delivered artwork(s) for personal use only (i.e., not for sale).

copyright

✦ I reserve the right to sign and/or watermark my own work.
✦ I will not claim rights to any character design that is not my own. I will not reuse or resell the delivered artwork(s) for personal or commercial purposes unless otherwise agreed.
✦ I may share/post WIPs or completed artwork on any platform unless an NDA has been established, but I will give proper credit to you for ownership of the character's design.
✦ Clients are responsible for protecting their ownership rights to any character design when uploading it to external sites.

ai usage

✦ The usage of AI on my artwork is strictly prohibited, and will result in any and all licenses being revoked effective immediately. This includes personal licenses, monetized content licenses, and commercial licenses.✦ The usage of AI refers to, but is not limited to:
<sub>- Altering the delivered artwork(s) in any shape, way or form using AI (including videos, touchups, animations, and more).
- Feeding the delivered artwork(s) into an AI.
- Using the delivered artwork(s) to replicate my style with AI.
- Approving and/or applauding of someone else doing any of the above.</sub>✦ In case of the Terms of Service being broken, a takedown of the delivered artwork(s) will be issued. If needed, a legal process can be started by the Artist.

nda & privacy request

✦ Clients must state if their commission should remain private during ordering.
✦ For a legal NDA, contact me. Otherwise, NDA terms are included in the invoice.
✦ NDA fee starts at +10% of the total quote but may vary.
✦ NDA means I cannot share WIPs or artwork until explicit permission is given.

commercial rights

✦ Profile pictures, thumbnails, banners, and social media posts do not count as commercial use.✦ Commercial rights incur an additional surcharge of 80–150%+ of the original agreed cost of the commission.

If needed, a legal process can be started by the Artist.

payment

✦ Payment is upfront and accepted through PayPal invoicing only, in € EURO.✦ I will initiate the transaction to prevent accidental payments. Do not send any payment until I confirm your commission and request payment via invoice.
✦ I will cover all PayPal fees, as required under PayPal Terms of Service. The price you see is the total amount you will pay.
✦ If your PayPal account malfunctions or processes an unauthorized refund, you must contact me immediately.
✦ I am not responsible for any errors or mistakes made on your part during the transaction.
✦ You may request a price quote before committing.
✦ Payment plans are available for orders over 1,000€, subject to my approval. Clients must adhere to the agreed schedule. Late payments may result in a pause on the project, cancellation of the commission, or additional fees determined by the Artist.
✦ Tips are not required but always appreciated!

refunds & cancellations

✦ No chargebacks under any circumstances.
✦ No refunds once work has started.
✦ I will issue a full or partial refund (depending on the artwork’s stage) if I am unable to complete your commission for any reason.
✦ Refunds will be issued only through the original payment method used for the transaction.
✦ I reserve the right to cancel an order before payment.
✦ Clients must contact me if they wish to cancel a commission request.

timeline & delivery

✦ Clients may set a deadline for their commission, which must be disclosed prior to payment.
✦ Clients have the right to be notified of any delays.
✦ Clients are responsible for prompt communication. I am not responsible for late delivery caused by delayed responses.
✦ I reserve the right to decline a project if the timeframe is too short.
✦ The average delivery time for illustration is about 1–2 months, though this may vary depending on the number of commissions I am currently handling or the complexity of the request.
✦ All dates provided are subject to change, and details should be discussed if the client has set specific deadline.
✦ In some cases, I can accept rush commissions that move a project forward in the queue. Rush fee starts at +20% of the total price and may vary.✦ Please refer to my waitlist to see the current commission progress.

process

✦ After payment, I will start the sketch and send it in 1-2 business days.
✦ I will send you an update at each stage for approval. I will pause work until I receive a response.
✦ The different stages are sketch, lineart and color flats, final artwork.
✦ More updates can be provided depending on the project or per request.
✦ If you have specific size needs please let me know ahead. I usually work in 3000 x 3000 px 600 dpi.

revisions & feedback

✦ After the order is completed, minor changes such as color adjustments are free if the missing or inaccurate elements are my fault (e.g., overlooked details provided in the order).
✦ Clients have the right to request up to 3 major revisions during the draft phase of the commission. Only minor adjustments within reason can be made afterward.
✦ Any additional changes after this will be subject to a fee, which will depend on the nature of the change.✦ In the absence of feedback from the client, any changes to the final piece will be subject to a fee.
✦ I am not responsible for any unsatisfactory elements if no feedback was given to amend them.
✦ I will not be held responsible for any changes in ownership of the character.
✦ Clients are responsible for ensuring that their order contains all the details they want me to follow.

final product

✦ Once the request is completed, the full size .png image(s) and/or .psd file will be shared via a private Google drive link or e-mail.
✦ Clients are responsible for saving any files, images, and digital data provided. I will preserve files for up to 6 months, but I cannot guarantee against computer failure, accidental deletion, or loss.
✦ Credit to me, Zmeinir, is required when clients post or use the delivered artwork(s) on any platform.
✦ I am not required to post your project publicly, and if posted, I am not required to keep it there indefinitely. I have the right to delete or remove any public project.
✦ I reserve the right to post finished artwork in my gallery or social media for any reason, unless an NDA has been established.
✦ There may be slight differences between samples in my gallery and the illustration clients will receive.
✦ I reserve the right to reject critiques pertaining to artistic skill or stylization if I deem the critique reduces the artistic quality of the piece.
✦ Any rude, inappropriate, inflammatory, or non-constructive comments may result in blacklisting.

how to request

✦ Complete reference materials must be provided from the start.
✦ Specify usage of the VTuber model.
✦ Deadlines are subject to acceptance based on complexity.
✦ Character document must include detailed and comprehensive design. An organized Google Drive folder is appreciated.
✦ Please ensure the budget is secured.
✦ There must be no disputes over the outfit/design and that you hold copyright and commercial rights. Proof may be requested.

revision policy

✦ No additional toggles beyond those in the initial agreement.
✦ Up to 5 additional expressions permitted.
✦ Unlimited revisions during the sketch stage.
✦ Major revisions after the sketch stage will incur an extra fee.
✦ All changes must align with the original commission concept.

commission process

✦ Project status can be checked anytime via my Trello, updated with every change.
✦ Please do not rush for updates.
✦ Workflow: Sketch → Color draft → Face → Flats → Body base (if applicable) → Hair → Outfit → Toggles/Add-ons (if applicable) → Cutting check → File organizing.
✦ File organizing may be done by a trusted assistant if available.
✦ PSD file delivered within 1–3 weeks after art completion. An unorganized PSD will also be provided for preview.
✦ Face angle references are included for the rigger to maintain stylistic cohesion.
✦ Expression sheets with layer indications are provided to ensure the intended vision is respected.

personal preferences

✦ Not particularly skilled at drawing male characters.
✦ Will not accept overly complex, irregular, or incohesive designs, or designs with excessive colors.
✦ Will not accept overly sexualized characters.
✦ Unique and additional hairstyles are appreciated. Traditional Japanese themes and streetwear outfits are preferred.
